1. Acceptance of Terms

By accessing or using JJE Digital's website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site.

2. Services Description

JJE Digital provides professional web design, development, and maintenance services including:

• Custom website design and development
• Website hosting and maintenance
• Search engine optimization (SEO) services
• Ongoing website updates and support
• Website security and backup services

3. Pricing and Payment Terms

3.1 One-Time Design Fee

• Initial design and development fees range from $2,500 to $5,000 depending on project scope
• 50% deposit required to begin work
• Remaining 50% due upon project completion and approval
• Payment must be received before website launch

3.2 Monthly Retainer Fee

• Monthly retainer fees range from $199 to $399 per month
• Billed on the 1st of each month
• Includes hosting, security, updates, and support as outlined in your service tier
• First month's retainer is due before website launch

3.3 Late Payments

Late payments may result in suspension of services. A late fee of 5% per month may be applied to overdue invoices.

4. Service Commitment and Timeline

• Most websites launch within 2-4 weeks of project initiation
• Timeline depends on client responsiveness and content delivery
• If we miss our agreed deadline, you receive $200 off your final invoice
• Timeline delays caused by client delays in providing materials will not trigger the discount

5. Client Responsibilities

You agree to:

• Provide all necessary content, images, and materials in a timely manner
• Respond to requests for feedback and approval within reasonable timeframes
• Ensure all content provided is legally owned and does not infringe on third-party rights
• Maintain current payment information on file
• Use the website in compliance with all applicable laws

6. Intellectual Property Rights

6.1 Client-Provided Content

You retain all rights to content, images, logos, and other materials you provide. You grant JJE Digital a license to use this content for the purpose of creating and maintaining your website.

6.2 Website Design and Code

Upon full payment of the initial design fee, you receive a license to use the website design and associated files. JJE Digital retains ownership of proprietary code, templates, and development methods. We reserve the right to showcase your website in our portfolio unless otherwise agreed.

6.3 Third-Party Elements

Some website elements may include third-party components, plugins, or libraries subject to their own licensing terms.

7. Updates and Revisions

• Your retainer tier determines the number of update batches included per month
• Each update batch is processed within 48 hours of submission
• Major redesigns or new features may require additional fees
• Emergency updates (Essential/Professional tiers) are subject to availability

8. Cancellation and Refunds

8.1 Design Phase Cancellation

If you cancel during the design phase, completed work will be charged at our hourly rate. The deposit is non-refundable.

8.2 Retainer Cancellation

• You may cancel your monthly retainer with 30 days' written notice
• No refunds for partial months
• Upon cancellation, website access and hosting will be terminated at the end of the paid period
• You will receive a final backup of your website files upon request

8.3 30-Day Money-Back Guarantee

If you're not satisfied within the first 30 days of your website launch, we'll refund your initial design fee (minus any third-party costs incurred on your behalf).

9. Warranties and Disclaimers

9.1 Service Warranty

We warrant that services will be performed in a professional and workmanlike manner in accordance with industry standards.

9.2 No Guarantee of Results

While we strive for excellence, we do not guarantee specific business results, search engine rankings, or website traffic levels.

9.3 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10. Limitation of Liability

IN NO EVENT SHALL JJE DIGITAL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless JJE Digital from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from: (a) your use of the services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) any content you provide.

12. Force Majeure

JJE Digital shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, riot, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or fuel or energy shortages.

13. Termination

We may terminate or suspend your access to our services immediately, without prior notice, for any breach of these Terms, including:

• Non-payment of fees
• Violation of intellectual property rights
• Illegal use of services
• Abusive behavior toward our team

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions.

Any disputes arising from these Terms or our services shall be resolved through binding arbitration in Chicago, Illinois, in accordance with the rules of the American Arbitration Association.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by email or through a notice on our website. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

17. Entire Agreement

These Terms, together with any service agreement or proposal you've signed, constitute the entire agreement between you and JJE Digital regarding our services and supersede all prior agreements and understandings.
